Role Overview

The Contracts & Compliance Director is responsible for leading the negotiation, drafting, and revision of commercial agreements with customers, subcontractors, and sales agents across One10 LLC and its affiliates and subsidiaries. This role also supports corporate legal compliance, ensuring contracts and business practices adhere to applicable laws, regulations, and internal policies.  

Scope of Work

  • Support the ongoing evolution of client and supplier contracts to identify and recommend adjustments to support the company’s strategy, interests and compliance concerns
  • Establish and administer processes, guidelines and policies for confidential information, subcontractor risk management and other programs and policies of One10 and its affiliates and subsidiaries
  • Frontline negotiation of contracts with Fortune 500 clients and key suppliers, with an emphasis on Travel & Events, Software-As-A-Service, and Incentives and Rewards
  • Develop, implement and administer comprehensive compliance programs and policies, including communication, auditing, reporting, mitigation and recordkeeping measures, to help ensure the company’s adherence to policy and applicable laws, regulations, industry standards and best practices
  • Monitor and analyze changes in laws and regulations that may affect One10 and advise internal management and business partners accordingly
  • Develop and execute effective process improvements, corrective actions or mitigation strategies to address identified risks
  • Partner and consult with cross-functional business teams for all One10 business solutions (Travel & Events, Performance Improvement), as well as facilitate with One10’s shared services personnel (Finance, IT, Insurance) to identify and resolve compliance concerns
  • Consult with outside corporate attorneys as necessary to address difficult legal compliance issues
  • Provide guidelines, training and resource library on policies and procedures related to regulatory and compliance activities to ensure management and employees are informed on compliance reporting systems, policies, programs and best practices
  • Spearhead a culture of compliance across the organization, fostering accountability and integrity at all levels
  • Collaborate with specialized outside legal counsel to evolve and adapt One10’s business solutions to changes in applicable laws and regulations, with an emphasis on preparation for additional growth both organically and via potential mergers and acquisitions
  • Provide legal support during due diligence and legal risk assessments for mergers, acquisitions and other business transactions
  • Provide input on corporate governance best practices, ensuring the organization adheres to high standards of governance and ethical conduct
  • Support trademark, copyright, and patent filings as needed to protect the company's intellectual property
  • Provide legal support for audits as required by clients and other auditing authorities
  • Maintain meticulous corporate records and documentation, ensuring all governance activities are accurately recorded and easily accessible
  • Implement other policies, programs and directives set by One10’s executives


Knowledge, Skills, and Abilities

  • 3+ years of relevant experience, preferably with Fortune 500 customers and a multi-national supplier base
  • Juris Doctor (JD) Degree from an accredited law school with broad experience in commercial law, including FTC Guidelines and Requirements, CAN-SPAM, GDPR, and other applicable legal and regulatory frameworks
  • Excellent interpersonal, analytical, written and verbal communication skills
  • Excellent attention to detail, optimistic work ethic and highly advanced drafting skills
  • Demonstrated ability to own projects and solve issues, quickly getting things done
  • Extremely detail-oriented approach while also balancing “big picture” objectives
  • Ability to successfully evaluate and weigh multiple inputs and impacts of any decision or course of action
  • Ability to anticipate issues and estimate risks strategically

The maximum salary for this role is listed to provide insight into the top of our compensation range, which is determined by market data, internal equity, and the responsibilities of the position. The final offer may vary based on a candidate’s experience, skills, and qualifications.

The maximum annual salary for this role is $125,000.
