Overview:

McGuireWoods LLP has an opening for a Private Equity and Corporate Transactional Paralegal in our Dallas, Texas office. This role is responsible for providing legal support services as assigned, which includes drafting corporate formation and ancillary transaction documents, filing various corporate and UCC documents and filings, assisting with closing process and post-closing tasks including preparation of closing sets, and other routine activities related to the Firm's various practice areas.

Responsibilities:
  • Reviews and summarizes lifecycle activities related to domestic entity governance documentation for corporations, limited liability companies, partnerships and investments.
  • Administers and prepares documents to effect entity formations, qualifications, amendments, dissolutions and withdrawals, liquidations, and foreign registrations.
  • Prepares entity resolutions and consents, as well as secretary's and incumbency certificates.
  • Prepares documents to effect mergers, conversions, reorganizations, share issuances and similar transactions, including stock certificates and powers, subscriptions, resolutions, etc.
  • Prepares and files fictitious name certificates.
  • Prepares bylaws and operating agreements.
  • Prepares and files domestic annual reports and reinstatements.
  • Prepares and files Form SS-4 with the IRS to obtain EINs.
  • Prepares, distributes, and compiles document signature papers.
  • Collaborates with various practice groups providing support, as needed.
  • Researches statutes, public records, and other due diligence support.
  • Supports corporate structuring and financing transactions.
  • Orders, reviews, analyzes and summarizes UCC, lien, litigation, and judgment searches.
  • Prepares UCC Financing Statements, Amendments, Assignments, Continuations, and Terminations.
  • Coordinates filing of UCCs with various service providers.
  • Experience with preparation and filing Regulation D filings with EDGAR and obtaining EDGAR codes is a plus.
Qualifications:
  • Four-year degree preferred, or a minimum of five years of relevant work experience.
  • Paralegal Certification from an ABA accredited program preferred.
  • Excellent written and verbal communication skills.
  • Ability to work well with colleagues and peers, and interact in a professional and courteous manner.
  • Interest in using innovative AI technology, including Harvey and Copilot, to support efficient high-impact work.
